1 Parties & Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between the subscriber dental clinic or healthcare practitioner ("Subscriber", "Clinic", "You") and Buraq Dev ("Company", "We", "Us"), governing your use of the Clinsyst Software-as-a-Service dental platform, associated websites, mobile interfaces, and digital APIs (collectively, the "Service").

By creating an account, initiating a free trial, signing into your clinic workspace, or executing a subscription payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy & Security Policy.

2 License Grant & SaaS Scope

Subject to compliance with these Terms and timely payment of subscription fees, Buraq Dev grants your clinic a non-exclusive, non-transferable, revocable license to access and operate Clinsyst for the administrative and clinical management of your practice.

This license is bounded by the authorized staff seats and concurrent device session quotas corresponding to your active subscription plan:

• Solo Practice (Starter): Up to 2 staff seats and 2 concurrent device sessions.
• Clinic Pro (Growth): Up to 5 staff seats and 5 concurrent device sessions.
• Hospital Enterprise: Up to 25 staff seats and 25 concurrent device sessions with multi-branch capabilities.

4 Account Security & Concurrent Device Quotas

You are responsible for maintaining the confidentiality of staff login credentials. Clinic administrators must promptly revoke access for departed staff.

Clinsyst enforces automated session limits based on your plan's maximum concurrent sessions. If an active session count is exceeded, the oldest inactive session may be terminated or additional sign-in blocked until authorized by the clinic administrator. Sharing logins with individuals outside your practice is strictly prohibited.

5 Subscription Billing, Free Trial & Cancellations

• 14-Day Free Trial: All new clinics receive a fully functional 14-day free trial. If no subscription is selected at trial expiration, workspace access will transition to a grace status pending plan activation.
• Billing Cycles: Paid plans are billed in advance on either a monthly or annual cycle in the clinic's selected currency (USD, AED, SAR, MYR, GBP, or PKR). Annual plans include discounted pricing.
• Cancellation & Refunds: You may cancel your subscription at any time via Clinic Setup or by contacting customer support. Cancellation takes effect at the conclusion of the active billing period. Payments already processed for a billing cycle are non-refundable.
• Delinquency: Accounts with unverified or overdue payments after the applicable grace period may be temporarily suspended until resolved.

6 Intellectual Property & Data Ownership

Your Clinic Data Remains Yours: The clinic retains full title, intellectual property, and copyright to all patient clinical records, odontograms, photographs, fee structures, and clinic logos stored in Clinsyst.

Software IP: Buraq Dev and its licensors retain all right, title, and interest in and to Clinsyst, including software code, UI designs, algorithms, dental charting interactive components, databases, and trademarks. You may not decompile, reverse-engineer, copy, or resell the platform.

7 Service Availability, SLA & Backups

We strive for a target uptime of 99.9% across our cloud infrastructure. Scheduled maintenance windows with potential minor interruptions are executed during non-peak hours and communicated in advance. Automated backups are conducted continuously to ensure business continuity.

8 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Buraq Dev, its officers, directors, employees, or contractors be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, loss of clinical data, or clinic downtime.

Our total cumulative liability arising out of or related to this agreement shall not exceed the total fees paid by the clinic to Buraq Dev during the twelve (12) months immediately preceding the event giving rise to liability.
